Role of independent and non-executive directors in corporate goverance- Liability imposed on non -executive directors to exercise reasonable standard of care while exercising their duties on the information given to them from others
Non-executive directors are undoutedly subject to similar fiduciary duties as executive directors i.e. the duty to act in good faith and for proper purposes. Non-executive directors will not be held to have satisfied their duties by simply arguing that they relied in good faith on certain information provided to them particularly, when the information concerns an important management decision as they are required to confirm the veracity of the information independently.

Whether a person who had purchased a software under a end-user licence agreement could re-sell the same to another party and whether it would amount of copyright infringment
Purchase of software under End user License Agreement (EULA) was not a licence but a sale. Therefore, a person who had purchased the software under such an agreement could re-sell the same to another party and the owner of the software could not stop such a sale since it had exhausted it rights under first sale doctrine as the doctrine allows the purchaser to transfer a lawfully made copy of the copyrighted work without permission once it has been obtained.
